14, 1995, at the Christian Buehler Memorial Horne in Peoria at age 86. He was born Jan. 30, 1909, in Chicago, to Edward and Helen Willet Franklin. He married the former Mary Haas of El Paso, April 19, 1937, in Peoria. His career with Caterpiliar spanned 40 years.

"All members of the Caterpillar family are saddened by Mr. Franklin's said Donald V. Fites, Caterpillar chairman. "His sound judgement and unique capcities to evaluate and innovate contributed greatly to the success and reputation of I Caterpillar. He was a modest but decisive individual and he possessed unique intellectual capacity.

During the period of his leadership at Caterpillar, he placed the company in an enviable position of offering a broad range of the highest quality products. This permitted the company to achieve new heights in its financial and manufacturing performance. He also contributed generously of his time and talents in service to his community, to his country, and to the process of worldwide trade and investment." Mr. Franklin graduated from Princeton University in 1931 and also studied accounting at night at the Northwestern University Graduate School in Chicago. An Illinois Certified Public Accountant, he spent several years in public accounting with Price Waterhouse Co.

in Chicago before joining Caterpillar in 1941 as assistant controller. In 1944 he was named controller. Mr. Franklin was elected a Caterpillar vice president in 1952, a director in 1961, an executive vice president in 1962, president in 1966, and chairman in 1972. He retired from operations in 1975 and from the board in 1981.

Mr. Franklin was a past chairman of the Federal Reserve Bank of Chicago and a former director of Exxon Corporation, Railroad Company, the Overseas Development Council and the joint U.S.-U.S.S.R. Trade and Economic Council. He also served as chairman of the Committee for Economic Development and trustee of Bradley University, the United States Council of the International Chamber of Commerce, and the Financial Accounting Foundation. His other memberships included the American Institute of Certified Public Accountants and the National Association of Accountants.

He also was a founding member of the Rockefeller University Council. Mr. Franklin received an honorary doctor's degree from Bradley University in 1986. Mr. Franklin and his wife have been residents of Peoria since 1941, Surviving is his wife, Mary Franklin, of Peoria; two daughters, Ann Elizabeth Franklin of Peoria and Mary Jo Franklin of Chicago; two sons, William Henry Franklin Jr.

of Ottawa, IL and Robert Edward Franklin of Peoria; three grandchildren and two great-grandchildren. Services 10 a.m. Monday, Sept. 18, 1995, at St. Thomas Catholic Church in Peoria Heights, of which he was a member, with Rev.

Mrs. Petersen was born in Copenhagen. She came to the United States on Christmas Day, 1924, and was met by Ludvig Petersen, who had immigrated two years earlier to begin a career as a structural engineer.

He is survived by his wife, Joan; four sons, James, Andrew, Robert and Jonathon: a sister; and three brothers, including Edward Derwinski, a former U.S. congressman and former head of the Veterans Administration; and a grandchild. "Courtesy is the fundamental of safe driving," he told a Tribune reporter in 1958. Mr. Conrad was a 1935 graduate of the University of Notre Dame, had advanced degrees from DePaul University and a law degree from Loyola University. He was past president of the Chicago Notre Dame Alumni Club and of the St. Thomas Academy Alumni Association.

He served on the boards of St. Mary's College, the Catholic Church Extension Society, the Naval Order of the United States, the Public Relations Society of the United States and the Chicago Heart Association. Survivors include his wife of 56 years, Virginia; three daughters, Carol Ann Rafferty, Lynn Hollett and Jane Jagodzinski; three sons, Charles, Mark and Robert Banci; and 12 grandchildren.
